These Terms of Use govern your access to and use of this website, operated by Zhizao Paper Technology Co., Ltd. ("Zhizao", "we", "us"). By using the site you agree to these terms. If you do not agree, please do not use it.

1. Agreement to these terms

These terms form a binding agreement between you and Zhizao. They apply in addition to any separate written contract we sign with you — and where a signed contract conflicts with these terms, that contract prevails.

We may update these terms from time to time. The "Last updated" date at the top shows when they last changed, and continued use of the site after a change means you accept the updated version.

2. Who may use this site

This is a business-to-business site aimed at retailers, brands, distributors and importers. You must be at least 18 years old and have authority to bind the organisation you represent. If you use the site on behalf of a company, you confirm that you are authorised to do so.

3. Permitted and prohibited use

You may browse the site, download catalogues and specifications, and submit inquiries for legitimate business purposes.

You agree not to:

• Copy, scrape or systematically extract product data, images or prices for a competing database or catalogue.
• Use automated tools (bots, crawlers, scrapers) in a way that imposes an unreasonable load on the site, or in breach of our robots.txt.
• Attempt to gain unauthorised access to any part of the site, its server or any connected system.
• Introduce viruses, malware or other harmful code.
• Misrepresent your identity, your company, or your authority when submitting an inquiry.
• Use our name, logos or product photography to imply an endorsement or partnership that does not exist.

4. Intellectual property

The site and its contents — text, photographs, product designs, drawings, dielines, logos, trade dress and layout — are owned by Zhizao or licensed to us, and are protected by copyright, trademark and design laws in China and internationally.

Specific points that matter in practice:

• Product photography and drawings may be used by customers and their authorised channel partners to market products genuinely purchased from us. They may not be used to market products made by anyone else.
• Product designs and structures shown on the site may be protected by design patents. Displaying them here is not a licence to reproduce them. Tooling built for your custom project is dealt with in your supply agreement.
• Our trademarks may not be used without written permission.
• Your branding remains yours. Artwork and logos you supply for private-label production are used only to make your order.

5. Product information

We work to keep product descriptions, dimensions, materials and specifications accurate. However:

• Dimensions and weights are nominal and subject to normal manufacturing tolerance for corrugated board, which varies with humidity and flute grade.
• Colours shown on screen depend on your display and may differ from the printed result. A physical approved sample is the reference for production.
• Models may be updated, improved or discontinued. Availability is not guaranteed until confirmed in writing for your specific order.
• Nothing on this site is an offer capable of acceptance. A quotation is an invitation to treat, and becomes binding only when confirmed in a written order acknowledgement.

6. Quotations, orders and commercial terms

Prices, minimum order quantities, lead times, payment terms and Incoterms shown on the site are indicative and for guidance only. They vary with material costs, order volume, artwork complexity and shipping conditions.

The binding commercial terms for any order — specification, quantity, price, delivery, inspection, warranty and liability — are those set out in the pro forma invoice, order acknowledgement or supply agreement issued for that order.

7. Information you send us

When you submit an inquiry, brief or design file, you confirm you have the right to share it. Please do not send confidential material before a mutual non-disclosure agreement is in place — while we treat commercial information as confidential as a matter of practice, we are not bound by a duty of confidentiality for unsolicited material absent such an agreement.

8. Third-party links and services

The site uses and links to third-party services, including Google Maps for our location and video platforms for factory footage. We do not control these services and are not responsible for their content, availability or terms. Your use of them is governed by their own terms and privacy policies.

9. Disclaimer of warranties

The site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we exclude all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement, in relation to your use of the site.

We do not warrant that the site will be uninterrupted, error-free or free of harmful components.

10. Limitation of liability

To the fullest extent permitted by applicable law, Zhizao will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or anticipated savings, arising out of or relating to your use of — or inability to use — this site.

Where liability cannot be excluded, our total aggregate liability arising from your use of this site is limited to the amount you have paid us in the twelve months preceding the event giving rise to the claim, or, where no payment has been made, a nominal sum.

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited. Liability for products supplied under a contract is governed by that contract, not by these terms.

11. Indemnification

You agree to indemnify and hold Zhizao, its officers, employees and agents harmless from any claim, loss, liability, cost or expense (including reasonable legal fees) arising from your breach of these terms, your misuse of the site, or your infringement of any third-party right.

12. Privacy

Your use of the site is also governed by our Privacy Policy, which explains how we handle personal information. Please read it together with these terms.

13. Governing law and disputes

These terms, and any dispute arising out of or in connection with them, are governed by the laws agreed between the parties and applied in the manner provided by the mandatory rules of the relevant jurisdiction.

We would always rather resolve a disagreement by talking. If something goes wrong, please contact us first so we can try to settle it directly and quickly. The governing law, and the forum for resolving any dispute that cannot be settled amicably, are as set out in the contract covering your order, or as otherwise agreed in writing between us. Where no such agreement exists, the applicable law and competent forum are determined by the mandatory rules in force.

Nothing in this section prevents either party from seeking urgent interim or injunctive relief before any competent court to protect its intellectual property or confidential information.

14. Changes to these terms

We may revise these terms at any time by updating this page. The revised version takes effect when published. Where a change is material, we will make reasonable efforts to give notice, such as a banner on the site.
